Terms of Service

1. The Services

Syntraix provides software that processes documents and structured data, including automated extraction, summarization, and analysis. The Services may change over time, and features may be added, modified, or removed.

2. Eligibility and Account Registration

You must be legally able to enter into a binding agreement to use the Services. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials.

You agree to provide accurate information and to keep your account information up to date.

3. Acceptable Use

You agree not to misuse the Services. You will not, and will not allow others to:

a. Unlawful or Harmful Activity

Use the Services in violation of applicable law or regulation, or in a manner that infringes, misappropriates, or otherwise violates the rights of others.

b. Security and Interference

Attempt to probe, scan, or test the vulnerability of any system or network, bypass or break security measures, or interfere with the operation of the Services (including by sending malware or overloading infrastructure).

c. Reverse Engineering

Reverse engineer, decompile, or attempt to discover source code, underlying models, or algorithms used to provide the Services, except to the extent such restriction is prohibited by law.

d. Resale and Unauthorized Access

Sell, resell, rent, or lease the Services or provide access to the Services to third parties except as expressly permitted by your plan or a written agreement with Syntraix.

4. Customer Content

a. Your Content

"Customer Content" means any documents, files, text, data, or other content you upload, submit, or otherwise make available through the Services. You retain ownership of your Customer Content.

b. License to Operate the Services

You grant Syntraix a limited, non-exclusive, worldwide license to host, copy, process, transmit, and display Customer Content solely to provide, maintain, and improve the Services and to comply with law.

c. Your Responsibilities

You represent and warrant that you have all rights necessary to provide Customer Content and that your Customer Content and use of the Services comply with applicable laws and these Terms.

5. AI Output and Human Review

The Services may generate outputs, including summaries, extracted fields, and analyses ("Output"). Output may be inaccurate or incomplete and is provided for informational purposes only. You are responsible for reviewing Output before relying on it, including for compliance, bidding, legal, or other high-stakes decisions.

6. Fees, Trials, and Payment

If you purchase a paid plan, you agree to pay all applicable fees and taxes. Fees are non-refundable except as required by law or as expressly stated by Syntraix in writing.

We may offer free trials or promotional access. Trial features and availability may change, and we may suspend or terminate trial access at any time.

7. Confidentiality

You and Syntraix may exchange confidential information. Each party agrees to use the other party's confidential information only as necessary to perform under these Terms and to protect it using reasonable care.

8. Intellectual Property

Syntraix and its licensors retain all rights, title, and interest in and to the Services, including all related software, models, documentation, and branding, except for Customer Content. You may not use Syntraix trademarks without prior written permission.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or if required by law.

Upon termination, your right to use the Services will cease. Certain provisions will survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and dispute terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTRAIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTRAIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTRAIX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYNTRAIX FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.

12. Indemnification

You agree to indemnify and hold harmless Syntraix and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Customer Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the state in which Syntraix is organized, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Services must be brought in the state or federal courts located in that state, and you consent to personal jurisdiction and venue in those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
